Consortium Supplementary Terms

Doowii Consortium and Multi-Institution Supplementary Terms

These Supplementary Terms apply when an Authorized User (“Authorized User” or “End User”) accesses the Doowii Platform through a consortium- or multi-institution-level agreement (“Consortium Agreement”) executed between Doowii, Inc. (“Doowii”) and a consortium or group of educational institutions (the “Coordinating Entity”). These Supplementary Terms supplement (and do not replace) the Doowii Platform Terms of Service and the Doowii Acceptable Use Policy (together, the “Core Terms”). Individual member institutions are “Customers” for purposes of the Core Terms. These terms supplement (and do not replace) the Doowii Platform Terms of Service: https://www.doowii.io/terms-of-service.

To the extent there is any conflict between the Consortium Agreement, the Customer’s institutional MSA (if applicable), the Customer’s institutional Order Form, these Supplementary Terms, and the Core Terms, such conflict shall be resolved pursuant to the following order of precedence: (i) the Consortium Agreement, (ii) Customer’s institutional Order Form, (iii) Customer’s institutional MSA, (iv) these Supplementary Terms, and (v) the Core Terms (with the Doowii Platform Terms of Service controlling over the AUP in the event of any conflict between them).

1. Access Through Coordinating Entity Membership

  • Access to the Platform is granted solely by virtue of your institution’s membership in the Coordinating Entity. Doowii does not independently verify membership eligibility.

2. Institutional Independence

  • Each institution remains solely responsible for: 
    • Its own student-data privacy obligations; 
    • Obtaining parental or student consents where required; 
    • Ensuring that its Authorized Users comply with local policies; 
    • Determining appropriate access rights within the Platform.
  • The Coordinating Entity does not confer cross-institution visibility unless expressly permitted under the Consortium Agreement.

3. Data Boundaries and Use

  • Institutional Segregation. Except as expressly authorized in the Consortium Agreement, Doowii will logically segregate each member institution’s data within the Platform so that End Users of one institution cannot view or access another institution’s identifiable data.
  • Coordinating Entity-Level Reports and Aggregation. Where Coordinating Entity-level analytics are permitted under the Consortium Agreement, Doowii may aggregate and anonymize data across participating institutions to produce benchmarking, trend, or other multi-institution analytics. Such reports will not intentionally disclose personally identifiable information (“PII”) of students or staff, and Doowii will not intentionally re-identify, or permit third parties to re-identify, individuals from anonymized consortium-level datasets. 
  • Educational Records. Each institution remains the “educational agency” for purposes of FERPA and analogous laws. Doowii acts as a “school official” only to the extent defined in the Consortium Agreement.

4. Support and Service Levels

  • Any support, uptime commitments, or service level assurances are those expressly stated in the Consortium Agreement. No additional warranties are offered through these Supplementary Terms.

5. Applicability of Core Terms and AUP

  • All End Users accessing the Platform under a Consortium Agreement remain subject to the Core Terms, including the Doowii Acceptable Use Policy: https://www.doowii.io/acceptable-use-policy. These Supplementary Terms do not limit or reduce any obligations under the Core Terms; they provide additional provisions specific to consortium- and multi-institution arrangements.

6. Termination of Access

  • Your access may be terminated if: 
    • Your institution exits the Coordinating Entity; 
    • The Consortium Agreement expires or terminates;
    • Your institution independently revokes your Authorized User status; 
    • You violate applicable terms or policies.

7. Governing Law and Dispute Resolution

  • These Supplementary Terms are governed by, and any disputes arising out of or relating to them shall be resolved in accordance with, the governing law and dispute resolution provisions set forth in the Consortium Agreement or, if silent, in the applicable institutional MSA between Doowii and the relevant Customer, and failing that, in the Doowii Platform Terms of Service.
